Welcome to CoFlyer™ ("CoFlyer," "we," "our," or "us"). CoFlyer is an online technology platform that facilitates introductions between travelers who may be traveling on similar routes. By accessing or using the CoFlyer website, mobile applications, or related services (collectively, the "Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you must not access or use the Platform.

These Terms should be read together with the CoFlyer Privacy Policy, Community Charter, and Disclaimer, each of which forms part of your agreement with CoFlyer.

1. Platform Purpose

CoFlyer provides an online community platform designed solely to facilitate introductions between travelers who may wish to communicate or travel independently. CoFlyer does not:

• Employ, supervise, or control travel companions.
• Arrange, book, manage, or operate transportation services.
• Act as a travel agency, transportation provider, caregiver, security service, or employer.
• Verify the identity, qualifications, background, intentions, or conduct of every user.
• Guarantee the reliability, compatibility, availability, or suitability of any travel companion.
• Provide travel, legal, medical, immigration, financial, security, or other professional advice.

All communications, meetings, travel arrangements, and decisions are made voluntarily and independently by users.

2. Eligibility

To use CoFlyer, you must be at least eighteen (18) years of age or the age of majority in your jurisdiction; have the legal capacity to enter into a binding agreement; provide accurate, truthful, and current information; use the Platform only for lawful purposes; and comply with all applicable local, provincial/state, national, and international laws. By using CoFlyer, you represent and warrant that you satisfy these eligibility requirements.

3. User Responsibilities

Each user is solely responsible for verifying information provided by other users; evaluating the suitability of any travel companion; making independent travel decisions; protecting personal belongings and personal information; following airline, airport, immigration, customs, and government regulations; and exercising reasonable judgment before, during, and after meeting another user. Users should never rely solely on information available through CoFlyer when making travel or safety decisions.

4. No Guarantee of Matches

Submitting travel information or creating a profile does not guarantee a compatible travel companion exists, a match will be identified, another traveler will respond, a meeting will occur, a shared journey will take place, or that any interaction will be successful, safe, or satisfactory. CoFlyer makes no representation or warranty regarding any user or interaction.

5. User Conduct

Users agree not to: provide false or misleading information; impersonate another individual or organization; harass, threaten, intimidate, discriminate against, exploit, or abuse another user; use abusive, offensive, hateful, or inappropriate language; use the Platform for fraud, scams, spam, phishing, or commercial solicitation; upload malicious software or harmful content; infringe intellectual property rights; violate any applicable law or regulation; or use CoFlyer in any manner that may endanger another user.

CoFlyer reserves the right to suspend, restrict, or terminate any account or remove any content that violates these Terms or may harm the Platform or its community.

6. Safety

CoFlyer encourages all users to prioritize their personal safety. Users are encouraged to verify the identity of other travelers whenever reasonably possible; meet only in public places such as airport terminals; inform trusted family members or friends of travel plans; avoid sharing sensitive financial or personal information; follow official airline and government travel guidance; and report suspicious or unlawful conduct to the appropriate authorities. Participation on CoFlyer is entirely voluntary and at each user's own risk.

7. Intellectual Property

The CoFlyer™ name, trademarks, logos, branding, website design, software, text, graphics, images, and original content are owned by or licensed to CoFlyer and are protected by applicable intellectual property laws. Except as expressly permitted in writing, no content may be copied, reproduced, modified, distributed, published, displayed, or otherwise used without prior written consent.

8. User Content

By submitting travel information, messages, photographs, or other content, you represent and warrant that the content is accurate to the best of your knowledge; you own the content or have permission to share it; and the content does not violate applicable law or third-party rights. You grant CoFlyer a limited, worldwide, non-exclusive, royalty-free license to host, display, reproduce, and use such content solely for operating, maintaining, securing, and improving the Platform.

9. Privacy

Your use of CoFlyer is governed by the CoFlyer Privacy Policy, which explains how personal information is collected, used, disclosed, stored, and protected.

10. Limitation of Liability

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by applicable law, CoFlyer, its owners, officers, directors, employees, affiliates, volunteers, licensors, contractors, and service providers shall not be liable for any direct, indirect, incidental, consequential, exemplary, punitive, or special damages arising from or relating to personal injury or death; loss, theft, or damage to property; missed flights; flight delays or cancellations; travel disruptions; fraud, deception, or misrepresentation by users; criminal conduct; emotional distress; financial loss; user interactions; or any use of or inability to use the Platform. Users assume all risks associated with meeting, communicating with, or traveling with other users.

11. Indemnification

You agree to indemnify, defend, and hold harmless CoFlyer, its owners, officers, directors, affiliates, employees, volunteers, licensors, and service providers from and against any claims, liabilities, damages, losses, costs, expenses, or reasonable legal fees arising from your use of the Platform; your violation of these Terms; your interactions with other users; your violation of applicable law; or your negligent or wrongful conduct.

12. Account Suspension or Termination

CoFlyer may, at its sole discretion and with or without prior notice, suspend or terminate user accounts; remove content; restrict Platform access; or take any other action reasonably necessary to protect users or the Platform.

13. Changes to These Terms

CoFlyer may modify these Terms from time to time. Updated versions will be published on the Platform with a revised "Last Updated" date. Your continued use of CoFlyer after changes become effective constitutes acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict of law principles.

15. Severability

If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.

16. Force Majeure

CoFlyer shall not be liable for any delay, interruption, or failure to perform resulting from causes beyond its reasonable control, including natural disasters, acts of government, war, terrorism, pandemics, labor disputes, internet or telecommunications failures, cyberattacks, airport closures, transportation disruptions, or other events beyond CoFlyer's reasonable control.

17. Entire Agreement

These Terms, together with the CoFlyer Privacy Policy, Disclaimer, and Community Charter, constitute the entire agreement between you and CoFlyer regarding your use of the Platform and supersede all prior understandings or agreements relating to the Platform.

18. Electronic Acceptance

By accessing, registering for, or continuing to use CoFlyer, you acknowledge that your electronic acceptance of these Terms has the same legal effect as a handwritten signature and that you agree to be legally bound by these Terms and all related policies.
